Stan Cygelman concentrates his practice in the corporate/securities and intellectual property areas. His almost thirty years of in-house and private practice experience includes representation of emerging-growth companies and established businesses, principally in areas of information technology, manufacturing and professional services. A substantial portion of Mr. Cygelman's practice involves representation of advertising agencies, including some of Boston's largest independently owned agencies. Mr. Cygelman counsels his clients in all stages of their development: from initial organization of a start-up venture, including founder agreements, key employee equity incentive plans, and acquisition and protection of technology; through equity financings, including angel and venture capital investments, strategic partnerships and other business transactions; and finally with initial public offerings and sales or mergers. Mr. Cygelman often represents private investors at various financing rounds of emerging companies. He also represents executives of private and publicly held companies in connection with stock option and other executive compensation strategies.
Mr. Cygelman received his Bachelor's Degree in Chemistry from the Massachusetts Institute of Technology, his law degree, cum laude, from Suffolk University Law School and a Master's Degree in Tax Law from Boston University Graduate School of Taxation. He is admitted to practice in the state and federal courts in Massachusetts, the United States Tax Court, the United States Court of Customs and Patent Appeals, and the United States Court of Claims. |
